These Customer Terms of Use (“Terms”) constitute a legally binding agreement between you and BYPPOCAMPUS, LLC (“BYPPO,” “BYPPOCampus,” “we,” “us,” or “our”) and govern your creation and use of a BYPPO account and your access to and use of the BYPPO application, BYPPOCampus program, websites, mobile applications, ordering platform, and related services (collectively, the “Service” or “App”).

BYPPOCampus is a program within the BYPPO platform that enables eligible students, faculty, staff, university affiliates, and other campus guests to order products from participating campus restaurants, dining locations, convenience stores, retailers, and other merchants.
The terms “you,” “your,” “Customer,” and “User” mean the individual creating or using a BYPPO account, accessing the Service, or placing an order through the Service.

PLEASE READ THESE TERMS CAREFULLY BEFORE CREATING A BYPPO ACCOUNT OR USING THE SERVICE.

ACCEPTANCE OF THESE TERMS
​
BY CREATING A BYPPO ACCOUNT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND BYPPO’S PRIVACY POLICY.
​
Your acceptance applies to:
​
-
your BYPPO account;
-
all access to and use of the Service through your account;
-
all orders placed through your account;
-
all payments and transactions made through your account;
-
all delivery and pick-up services requested through your account; and
-
all other use of the Service while these Terms remain in effect.
If you do not agree to these Terms, do not check the acceptance box, create an account, or use the Service.

ALL ORDERS ARE FINAL SALES
​
ONCE AN ORDER IS PLACED THROUGH THE BYPPO PLATFORM, THE ORDER IS FINAL, MAY NOT BE CANCELED BY THE CUSTOMER, AND IS NON-REFUNDABLE, EXCEPT TO THE EXTENT A REFUND OR OTHER REMEDY IS REQUIRED BY APPLICABLE LAW.
For purposes of these Terms, an order is “placed” when the Customer submits the order through the App and BYPPO’s system receives the order submission.
If something goes wrong with an order, the appropriate process depends on the nature of the issue:

Food, preparation, ingredient, quality, packaging, missing-item, or product issues should generally be addressed with the Vendor first.
-
Delivery-service issues should be reported directly to BYPPO.
-
If a delivered order remains eligible for BYPPO review, the Customer must comply with the applicable five-minute Order Issue Review period.
-
Orders marked Unclaimed are not eligible for BYPPO’s Order Issue Review process except where applicable law requires otherwise.
-
Food-safety, illness, contamination, or allergen concerns that could not reasonably have been discovered within the five-minute period are governed separately under these Terms.
An Order Issue Review does not create a right or entitlement to a monetary refund.
If BYPPO determines that a customer-service accommodation is appropriate, BYPPO may, in its sole discretion, provide a promotional credit, account credit, item-specific promotional credit, promotional code, or other non-cash accommodation.
These Terms also contain a binding arbitration agreement, jury trial waiver, and class action waiver that affect your legal rights.

1. ELIGIBILITY AND CAMPUS AFFILIATION
​
BYPPOCampus is intended primarily for individuals affiliated with or authorized to use services at participating colleges, universities, campuses, and university-related locations.
BYPPO may require verification of eligibility through:
​

a university-issued email address, including a .edu email address;
-
university credentials;
-
campus single sign-on;
-
campus identification;
-
university-affiliation information; or
-
another verification method approved by BYPPO.
Unless BYPPO expressly permits otherwise, you must be at least eighteen (18) years old and legally capable of entering into a binding agreement.
You represent and warrant that all information you provide to BYPPO is accurate, current, and complete.
You agree to maintain accurate account, contact, and payment information.
BYPPO may deny, restrict, suspend, or terminate access to the Service because of:

inability to verify eligibility;
-
violation of these Terms;
-
fraud or suspected fraud;
-
security concerns;
-
payment issues;
-
university requirements;
-
misuse of the Service;
-
safety concerns; or
-
other legitimate operational or business reasons.
Verification of university affiliation does not create any employment, educational, agency, partnership, franchise, joint venture, or other legal relationship between you and BYPPO.

2. THE BYPPO SERVICE
The Service may allow Customers to:
​
-
browse participating Vendors;
-
view menus and available products;
-
place orders;
-
make payments;
-
request eligible delivery services;
-
place pick-up orders;
-
pre-order products where available;
-
receive order-status information; and
-
access customer-support features.
Participating restaurants, dining locations, convenience stores, retailers, and other merchants are referred to as “Vendors.”
BYPPO provides a technology platform and related ordering, payment-processing, transaction-management, delivery-coordination, and customer-support services.
Unless expressly stated otherwise, the applicable Vendor is responsible for preparing, packaging, providing, and selling Vendor products ordered by Customers.
BYPPO does not independently prepare, cook, manufacture, package, label, or inspect Vendor products.
Vendor participation, menus, products, prices, operating hours, locations, availability, and Service options may change at any time.
BYPPO does not guarantee that any particular Vendor, product, delivery option, or Service will always be available.

3. INDEPENDENT VENDORS AND DELIVERY PERSONNEL
​
Vendors are independent businesses.
Delivery personnel performing delivery services through BYPPO may be independent contractors.
Unless expressly stated otherwise, Vendors and independent delivery personnel are not employees, agents, representatives, partners, joint venturers, or franchisees of BYPPO.
BYPPO may establish platform standards, safety requirements, order-handling procedures, delivery requirements, customer-service standards, and other requirements governing use of the Service.
Such requirements do not by themselves create an employment, agency, partnership, or joint venture relationship.
To the fullest extent permitted by applicable law, BYPPO is not responsible for independent acts or omissions of Vendors or independent delivery personnel.

4. SERVICE OPTIONS
​
Service options may vary by campus, Vendor, location, operating hours, demand, and availability.
​
4.1 Campus Delivery
Where available, Customers may request delivery to an eligible location within a delivery territory designated by BYPPO.
BYPPO may establish, modify, expand, reduce, suspend, or discontinue delivery territories.
Delivery availability may depend on:
​
-
Vendor participation;
-
delivery-personnel availability;
-
distance;
-
campus access;
-
operating hours;
-
weather;
-
demand;
-
university restrictions;
-
campus events;
-
safety conditions; and
-
other operational circumstances.
BYPPO does not guarantee that delivery personnel will be available for every order.

4.2 Express Pick-Up
Where available, Customers may place an order through BYPPO and retrieve the order from the applicable Vendor.
4.3 Pre-Ordering
Where available, Customers may request a future preparation, pick-up, or delivery time.
Requested and estimated times are not guaranteed.
4.4 In-Seat or Designated-Location Delivery
At certain participating locations or events, Customers may request delivery to a specified seat, section, building, residence hall, room, or other approved location.
Customers are responsible for providing accurate location information.
4.5 Changes to Service Options
BYPPO and participating Vendors may modify, temporarily suspend, or discontinue any Service option at any time.

5. PRICES, TAXES, FEES, AND TOTAL CHARGES
The total amount displayed at checkout may include:
​
-
Vendor product charges;
-
applicable sales and other taxes;
-
BYPPO convenience, service, platform, or transaction fees;
-
delivery fees;
-
Campus Payment Method processing fees, where applicable;
-
optional tips; and
-
other charges disclosed before the order is placed.
The final checkout screen controls over prices previously displayed elsewhere through the Service.
Vendor prices offered through BYPPO may differ from prices offered by the same Vendor:

-
in person;
-
through the Vendor’s website;
-
through another application;
-
through another delivery platform; or
-
through another sales channel.
BYPPO does not guarantee that prices offered through the Service are the lowest available prices.
Prices, taxes, fees, product availability, and promotions may change before an order is placed.
By placing an order, you authorize BYPPO and its payment providers to process the total amount displayed at checkout.

6. CAMPUS MEAL PLANS, DINING DOLLARS, AND CAMPUS PAYMENT METHODS
BYPPO may permit eligible Customers to pay using university-sponsored payment methods, including:
​

meal plans;
-
dining dollars;
-
campus debit accounts;
-
campus stored-value accounts;
-
university-funded accounts; and
-
other university-sponsored payment methods.
These are collectively referred to as “Campus Payment Methods.”
Campus Payment Methods may also be subject to rules established by the applicable university, dining program, payment-system provider, or other third party.
6.1 NO PROMOTIONS OR BYPPO CREDITS WITH CAMPUS PAYMENT METHOD ORDERS
BYPPO PROMOTIONAL CODES, PROMOTIONAL CREDITS, ACCOUNT CREDITS, ITEM-SPECIFIC CREDITS, REFERRAL CREDITS, DISCOUNTS, OR OTHER BYPPO PROMOTIONAL BENEFITS MAY NOT BE APPLIED TO OR COMBINED WITH AN ORDER PAID IN WHOLE OR IN PART USING A CAMPUS PAYMENT METHOD, UNLESS BYPPO EXPRESSLY STATES OTHERWISE.
If a Customer wishes to use an eligible BYPPO promotional code or credit, the Customer must use an eligible non-campus payment method accepted by BYPPO.
Any BYPPO promotional or account credit issued in connection with an order originally paid using a Campus Payment Method:

-
is not a refund to the Campus Payment Method;
-
does not constitute meal-plan funds;
-
does not constitute dining dollars;
-
cannot be deposited into a meal plan;
-
cannot be deposited into a campus account;
-
cannot be redeemed for cash;
-
cannot be used toward another Campus Payment Method order; and
-
remains subject to applicable BYPPO credit terms.
BYPPO may automatically reject, remove, reverse, or decline a promotion or credit applied to an ineligible Campus Payment Method transaction.

7. PROMOTIONS, REFERRALS, AND BYPPO CREDITS
​
BYPPO may offer promotional codes, discounts, referral incentives, account credits, item-specific credits, loyalty incentives, or other promotional benefits.
Unless BYPPO expressly states otherwise, such benefits:
​

have no cash value;
-
are non-transferable;
-
cannot be sold;
-
cannot be exchanged for cash;
-
cannot be withdrawn;
-
cannot be returned to a payment card;
-
cannot be transferred to a Campus Payment Method;
-
may expire;
-
may require a minimum purchase;
-
may be limited to certain Vendors;
-
may exclude certain products or fees;
-
may not be combined with another promotion; and
-
remain subject to additional terms provided with the promotion.
BYPPO may revoke, restrict, cancel, correct, or invalidate promotional benefits obtained or used through fraud, error, abuse, duplicate accounts, manipulation, unauthorized transfer, technical malfunction, or violation of applicable promotional terms.
A promotional credit or customer-service accommodation is not a monetary refund and does not constitute an admission of fault, liability, negligence, or wrongdoing.

8. CUSTOMER RESPONSIBILITY BEFORE PLACING AN ORDER
Before placing an order, you are responsible for reviewing and confirming:
​

the correct Vendor;
-
all products;
-
quantities;
-
modifications;
-
product options;
-
prices;
-
taxes;
-
fees;
-
tips;
-
payment method;
-
promotional codes;
-
delivery or pick-up method;
-
delivery location;
-
building;
-
residence hall;
-
room;
-
entrance;
-
seat or section;
-
delivery instructions;
-
requested time, where applicable; and
-
total order amount.
You are responsible for correcting errors before submitting the order.
ONCE YOU SUBMIT THE ORDER, IT IS FINAL AND CANNOT BE CANCELED BY YOU.
A Customer mistake does not create a right to cancel, modify, or obtain a monetary refund.

9. ALL ORDERS ARE FINAL SALES
ALL SALES ARE FINAL ONCE AN ORDER IS PLACED
ONCE AN ORDER IS PLACED THROUGH THE BYPPO PLATFORM, THE ORDER IS FINAL, MAY NOT BE CANCELED BY THE CUSTOMER, AND IS NON-REFUNDABLE, EXCEPT TO THE EXTENT A REFUND OR OTHER REMEDY IS REQUIRED BY APPLICABLE LAW.
This applies regardless of whether the Vendor has accepted or begun preparing the order when the Customer attempts to cancel it.
The policy applies even if the Customer:
​
-
changes their mind;
-
places an order accidentally;
-
selects the wrong Vendor;
-
orders the wrong product;
-
orders the wrong quantity;
-
selects an incorrect customization;
-
provides an incorrect delivery location;
-
selects the wrong payment method;
-
fails to apply a promotional code;
-
fails to apply an available credit;
-
becomes unavailable to receive the order;
-
fails to meet delivery personnel;
-
fails to retrieve a pick-up order;
-
underestimates preparation or delivery time;
-
places a duplicate order through Customer error;
-
no longer wants the products; or
-
otherwise makes an error when placing the order.
BYPPO Customer Support is not required to cancel an order on behalf of the Customer.
A complaint, support request, Order Issue Review, delay, incorrect item, missing item, product-quality concern, or delivery issue does not alter the final-sale status of the order.
Nothing in this Section eliminates any right or remedy that applicable law does not permit the Customer to waive.

10. ORDERS THAT CANNOT BE FULFILLED
The final-sale policy does not prevent BYPPO or a Vendor from rejecting, stopping, canceling, or otherwise terminating all or part of a transaction that cannot reasonably be fulfilled.
This may occur because of:
​
-
Vendor failure to accept an order;
-
Vendor closure;
-
product unavailability;
-
Vendor inability to prepare the order;
-
payment or authorization failure;
-
technical malfunction;
-
material pricing or menu error;
-
suspected fraud;
-
safety concerns;
-
university closure;
-
campus emergency;
-
inability to provide delivery service; or
-
another legitimate operational reason.
If all or part of a transaction cannot be fulfilled, BYPPO may:
​
-
void an authorization;
-
release a payment hold;
-
reverse all or part of a transaction;
-
remove or adjust an unfulfilled item;
-
cancel an uncompleted transaction; or
-
make another appropriate payment correction.
Such action is a BYPPO-initiated or Vendor-initiated transaction correction and does not create a Customer right to cancel other orders or otherwise modify BYPPO’s final-sale policy.

11. ESTIMATED TIMES AND DELAYS
​
Preparation, pick-up, and delivery times displayed through the Service are estimates only.
BYPPO does not guarantee completion within a particular timeframe.
Delays may result from Vendor preparation, order volume, Vendor staffing, delivery-personnel availability, campus conditions, weather, pedestrian traffic, building access, campus events, security requirements, technology interruptions, emergencies, product availability, or circumstances outside BYPPO’s reasonable control.
A delay does not automatically create a right to:
​
-
cancel an order;
-
receive a monetary refund;
-
receive a credit;
-
receive a replacement order; or
-
receive other compensation.
​
12. DELIVERY ORDERS AND CUSTOMER PRESENCE REQUIREMENT
​
BY PLACING A DELIVERY ORDER, THE CUSTOMER EXPRESSLY AGREES TO BE AVAILABLE AND PHYSICALLY PRESENT AT THE DESIGNATED DELIVERY LOCATION WHEN THE DELIVERY PERSONNEL ARRIVE.
The Customer is responsible for:
​

monitoring order status;
-
monitoring arrival notifications;
-
keeping contact information current;
-
responding to reasonable communications relating to delivery;
-
being able to access the designated delivery location; and
-
promptly appearing to receive the order when delivery personnel arrive.
The Customer’s absence, failure to monitor the order, failure to respond, or inability to reach the designated delivery location does not create a right to cancel the order, receive a monetary refund, or receive other compensation.

13. DELIVERY INFORMATION
​
Customers are responsible for providing complete and accurate delivery information, including where applicable:
address;
​
-
building;
-
residence hall;
-
room;
-
entrance;
-
designated delivery point;
-
campus landmark;
-
seat;
-
section;
-
telephone number;
-
access instructions; and
-
other delivery instructions.
Unless BYPPO expressly permits otherwise, delivery information cannot be changed after an order is placed.
BYPPO is not responsible for an unsuccessful, delayed, misplaced, or otherwise affected delivery resulting from inaccurate information, incomplete information, inaccessible locations, Customer failure to provide access, campus restrictions, inaccurate contact information, or Customer error.
Such circumstances do not create a right to a monetary refund.

14. DELIVERY CODE, CUSTOMER ACCEPTANCE, AND COMPLETION OF DELIVERY
​
BYPPO may issue a unique one-time delivery code for a delivery order.
The Customer is responsible for keeping the delivery code secure and should provide it to delivery personnel only when physically present and receiving the order.
14.1 PROVIDING THE DELIVERY CODE CONFIRMS RECEIPT
BY PROVIDING THE DELIVERY CODE TO DELIVERY PERSONNEL, THE CUSTOMER ACKNOWLEDGES AND AGREES THAT:
​
-
the Customer or a person authorized by the Customer is present to receive the order;
-
the order has been physically presented and delivered;
-
the Customer has had a reasonable opportunity to review the order and visible packaging;
-
the delivery portion of the transaction is complete;
-
the Customer accepts receipt of the order; and
-
except for an eligible issue timely submitted pursuant to these Terms, the Customer accepts the delivery as completed.
Successful entry of the correct delivery code constitutes strong evidence that the delivery was completed and that the order was received by the person who provided the code.
The Customer should review the order and visible packaging to the extent reasonably possible before providing the delivery code.
Once the delivery code has been successfully entered, BYPPO may deny a subsequent claim that the entire order was never delivered unless BYPPO determines that credible evidence establishes fraud, mistake, or another exceptional circumstance.

15. FIVE-MINUTE POST-DELIVERY ORDER ISSUE WINDOW
After the Customer provides the delivery code and the order is marked Delivered or Completed, the Customer has five (5) minutes to submit an eligible Order Issue Review concerning an immediately discoverable order or delivery issue.
Immediately discoverable issues may include:

a missing item;
-
an incorrect item;
-
a visibly damaged item;
-
visibly damaged packaging;
-
opened or visibly tampered packaging;
-
a material delivery-handling problem; or
-
another immediately observable discrepancy.
15.1 REQUIRED METHOD OF SUBMISSION
An eligible post-delivery Order Issue Review must be submitted through the applicable in-App BYPPO Support or Order Help process within the five-minute period.
Use of another communication channel does not automatically extend the reporting deadline.
15.2 FIVE-MINUTE DEADLINE
AFTER FIVE (5) MINUTES HAVE PASSED FROM THE TIME THE DELIVERY CODE IS SUCCESSFULLY ENTERED AND THE ORDER IS MARKED DELIVERED OR COMPLETED, THE DELIVERY SHALL BE DEEMED ACCEPTED AND COMPLETE FOR PURPOSES OF BYPPO’S VOLUNTARY ORDER ISSUE REVIEW PROCESS.
After expiration of the five-minute period, the Customer is no longer eligible to submit a BYPPO Order Issue Review concerning an immediately discoverable order or delivery issue.
BYPPO may disable or remove the applicable in-App Order Issue Review option after the reporting period expires.
Failure to inspect an order, review its contents, or discover and report an immediately observable issue within the reporting period does not extend the deadline.
Food-safety, illness, contamination, or allergen concerns that could not reasonably have been discovered during the five-minute period are addressed separately under Section 26.
Nothing in this Section eliminates any right that applicable law does not permit BYPPO to limit or waive.

16. TEN-MINUTE DELIVERY WAITING PERIOD
​
Once the BYPPO platform records or communicates that delivery personnel have arrived at the designated delivery location, the Customer has up to ten (10) minutes to appear and receive the order.
The Customer acknowledges and agrees that delivery personnel are not required to wait longer than ten minutes.
If the Customer does not appear within the applicable ten-minute period, delivery personnel may mark the order “Unclaimed.”
​
17. UNCLAIMED DELIVERY ORDERS
​
If the Customer does not appear and become available to receive a delivery within the applicable ten-minute period, the order may be marked Unclaimed.
The Customer acknowledges and agrees that:
​
-
the Customer was responsible for being present to receive the order;
-
delivery personnel are not required to make another delivery attempt;
-
BYPPO is not required to arrange redelivery;
-
the Vendor is not required to remake the order;
-
the order remains a final sale;
-
the Customer is not entitled to a monetary refund;
-
the Customer is not entitled to redelivery;
-
the Customer is not entitled to a replacement order; and
-
the Customer is not entitled to a BYPPO customer-service credit or promotional accommodation because of the Customer’s failure to appear.
17.1 UNCLAIMED ORDERS ARE NOT ELIGIBLE FOR ORDER ISSUE REVIEW
AN ORDER MARKED UNCLAIMED BECAUSE THE CUSTOMER FAILED TO APPEAR WITHIN THE APPLICABLE TEN-MINUTE PERIOD IS NOT ELIGIBLE FOR AN ORDER ISSUE REVIEW, CUSTOMER-SERVICE CREDIT, PROMOTIONAL CREDIT, REPLACEMENT, REDELIVERY, OR OTHER ORDER-RELATED COMPENSATION, EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAW.
The Customer may not use BYPPO’s Order Issue Review process to claim non-delivery where delivery personnel arrived at the designated location and the Customer failed to appear within the applicable waiting period.
BYPPO may rely upon:
-
delivery-personnel arrival records;
-
timestamps;
-
Customer notifications;
-
attempted communications;
-
delivery status;
-
location information where lawfully available; and
-
other platform records
as evidence regarding the delivery attempt.
​
18. ORDERS LEFT AT THE DELIVERY LOCATION
​
Where permitted by campus rules, safety considerations, Vendor requirements, and BYPPO procedures, delivery personnel may leave an Unclaimed order at or near the Customer’s designated delivery location.
If an order is left at the designated location, the Customer assumes responsibility for the order after it is left.
To the fullest extent permitted by applicable law, BYPPO, the Vendor, and delivery personnel are not responsible for subsequent:
​
-
theft;
-
loss;
-
disappearance;
-
damage;
-
contamination;
-
deterioration;
-
temperature changes;
-
weather exposure;
-
interference by another person;
-
interference by animals; or
-
other events occurring after delivery personnel leave.
Whether or not the order can safely be left at the designated location, failure to appear within ten minutes may result in the order being marked Unclaimed.

19. PICK-UP ORDERS
​
Customers placing pick-up orders are responsible for monitoring order status and retrieving their orders.
Unless otherwise displayed through the Service, the Customer must retrieve the order within one (1) hour after it is marked Ready for Pick-Up.
After that period, the order may be marked Unclaimed.
Failure to retrieve a pick-up order does not cancel the transaction.
The order remains a final sale and is non-refundable.
To the fullest extent permitted by applicable law, BYPPO and the Vendor are not responsible for deterioration in temperature, freshness, texture, appearance, quality, or condition resulting from the Customer’s failure to timely retrieve the order.

20. FOOD AND PRODUCT ISSUES ARE PRIMARILY VENDOR RESPONSIBILITY
​
Participating Vendors, and not BYPPO, are primarily responsible for the preparation, contents, accuracy, ingredients, portioning, quality, packaging, labeling, and safety of food and other products prepared or supplied by the Vendor.
Food or product issues may include:
​
-
incorrect food items;
-
missing food items;
-
incorrect preparation or modifications;
-
food quality;
-
taste;
-
portion size;
-
preparation-related temperature concerns;
-
ingredient concerns;
-
allergen or dietary-preparation concerns;
-
Vendor packaging issues;
-
food preparation errors; and
-
other issues relating to the preparation or contents of the order.
BYPPO does not independently prepare, cook, inspect, manufacture, or verify the contents of Vendor-prepared orders.

21. CUSTOMER SHOULD CONTACT THE VENDOR FIRST FOR FOOD-RELATED ISSUES
​
For an issue relating primarily to food preparation, food quality, ingredients, missing or incorrect products, Vendor packaging, or another matter within the Vendor’s control, the Customer should first contact the applicable Vendor or restaurant directly and make a reasonable attempt to resolve the issue with the Vendor.
Because the Vendor prepared and supplied the products, the Vendor is generally in the best position to investigate and respond to food-related concerns.
The Customer’s communications with a Vendor do not create any obligation on BYPPO to issue a monetary refund, credit, replacement, or other compensation.

22. BYPPO MAY ASSIST WITH VENDOR ISSUES
​
If the Customer is unable to reach the Vendor or cannot obtain a resolution after making a reasonable attempt to contact the Vendor, the Customer may contact BYPPO for assistance, subject to these Terms and any applicable reporting deadlines.
BYPPO may, in its discretion:
​
-
relay the Customer’s information to the Vendor;
-
relay Vendor information to the Customer;
-
request additional information from the Vendor;
-
document the reported issue;
-
assist the Customer and Vendor in communicating;
-
review available transaction records; or
-
determine whether a discretionary BYPPO customer-service accommodation is appropriate.
BYPPO’s assistance does not make BYPPO responsible for the Vendor’s food preparation, product contents, quality, ingredients, accuracy, packaging, labeling, safety, or other acts or omissions.
BYPPO does not guarantee that a Vendor will provide any particular resolution.

23. DELIVERY-RELATED ISSUES
​
Issues arising specifically from the delivery service should be reported directly to BYPPO in accordance with the five-minute reporting requirements where applicable.
Delivery-related issues may include:
​
-
delivery to an incorrect location attributable to delivery personnel;
-
failure to deliver an order after it was properly received from the Vendor;
-
material damage occurring during transportation;
-
material mishandling occurring during transportation;
-
delivery-personnel conduct; or
-
another issue arising specifically from transportation after the order was picked up from the Vendor.
Responsibility for a reported issue may depend on whether the issue arose from:
-
Vendor preparation;
-
Vendor packaging;
-
delivery handling;
-
Customer conduct;
-
Customer-provided instructions; or
-
another cause.
BYPPO may review available order, Vendor, delivery, timestamp, delivery-code, communication, location, and other records when evaluating the issue.
​
24. ORDER ISSUE REVIEW ELIGIBILITY
​
An Order Issue Review is available only where the applicable order remains eligible under these Terms.
For a completed delivery where the Customer provided the delivery code, an Order Issue Review concerning an immediately discoverable discrepancy must be submitted within five (5) minutes after the delivery code is successfully entered and the order is marked Delivered or Completed.
An order is not eligible for BYPPO’s Order Issue Review process if:
​
-
the applicable five-minute reporting period has expired for an immediately discoverable issue;
-
the order was marked Unclaimed because the Customer failed to appear;
-
required documentation was not provided;
-
the claim conflicts with reliable platform records;
-
the Customer submitted false, misleading, altered, or fabricated information; or
-
the claim is otherwise ineligible under these Terms.
AN ORDER ISSUE REVIEW IS A CUSTOMER-SERVICE REVIEW ONLY.
IT IS NOT A CANCELLATION OR REFUND REQUEST.
SUBMISSION OF AN ORDER ISSUE REVIEW DOES NOT CREATE ANY RIGHT OR ENTITLEMENT TO A REFUND, CREDIT, REPLACEMENT, REDELIVERY, OR OTHER COMPENSATION.

25. DOCUMENTATION FOR ORDER ISSUE REVIEWS
BYPPO may require supporting evidence for an Order Issue Review.
Depending upon the reported issue, BYPPO may require:
​
-
photographs of the complete order;
-
photographs of all packaging;
-
photographs of the affected item;
-
photographs showing missing-item context where reasonably possible;
-
product labels;
-
receipts;
-
screenshots of the applicable order;
-
delivery timestamps;
-
delivery-code information;
-
communications; or
-
other documentation reasonably requested by BYPPO.
Evidence must be genuine and accurately represent the order and reported issue.
BYPPO may deny an Order Issue Review if:
​
-
required evidence is not provided;
-
evidence does not reasonably establish the reported issue;
-
evidence appears altered, fabricated, incomplete, or misleading;
-
reliable transaction or delivery records contradict the claim;
-
the applicable reporting deadline has expired; or
-
BYPPO reasonably determines that an accommodation is not warranted.

26. FOOD SAFETY, ALLERGEN, CONTAMINATION, AND ILLNESS CONCERNS
The five-minute Order Issue Review period is intended primarily for immediately discoverable order and delivery discrepancies.
It does not prevent a Customer from reporting a food-safety, contamination, allergen, illness, or similar concern that could not reasonably have been discovered within the five-minute period.
A Customer who becomes aware of such an issue should report it promptly after discovery.
Because Vendors prepare and supply the food, Customers should promptly notify the applicable Vendor of food-safety, allergen, contamination, or illness concerns.
Customers may also notify BYPPO so that BYPPO may:
​
-
document the report;
-
relay information to the Vendor;
-
request information from the Vendor;
-
preserve available platform records;
-
take appropriate action regarding the Vendor’s participation in the Service where warranted; and
-
cooperate with lawful governmental or regulatory requests where required.
BYPPO’s receipt, documentation, investigation, or forwarding of a food-safety or illness report does not constitute an admission that BYPPO prepared, manufactured, supplied, contaminated, or is legally responsible for the affected food.
Nothing in these Terms restricts a Customer from exercising rights that applicable law does not permit BYPPO to waive.

27. CUSTOMER-SERVICE CREDITS AND PROMOTIONAL ACCOMMODATIONS
​
After reviewing an eligible issue, BYPPO may, in its sole discretion, provide:
​
-
no compensation;
-
a BYPPO promotional credit;
-
an account credit;
-
an item-specific promotional credit;
-
a promotional code; or
-
another non-cash customer-service accommodation.
ORDER ISSUES DO NOT ENTITLE CUSTOMERS TO MONETARY REFUNDS.
Except to the extent required by applicable law, BYPPO is not required to return funds to the Customer’s original payment method because of an Order Issue Review.
The amount of any credit does not have to equal the total order price, affected item price, or amount requested by the Customer.
BYPPO may determine the amount, expiration date, eligible Vendors, minimum purchase requirement, eligible products, payment-method restrictions, promotional-combination restrictions, and other applicable conditions of an accommodation.
Unless expressly stated otherwise, a BYPPO credit:
-
has no cash value;
-
cannot be withdrawn;
-
cannot be sold;
-
cannot be transferred;
-
cannot be exchanged for cash;
-
cannot be returned to a payment card;
-
cannot be deposited into a meal plan;
-
cannot be converted into dining dollars;
-
cannot be used with a Campus Payment Method; and
-
may expire.
Providing an accommodation does not constitute an admission of fault, liability, negligence, wrongdoing, Vendor responsibility, or delivery-personnel responsibility.
Providing an accommodation for one order does not require BYPPO to provide the same or any accommodation for another order.

28. FRAUDULENT OR ABUSIVE CLAIMS
​
BYPPO may deny claims, revoke credits, restrict promotional eligibility, suspend an account, or terminate an account where BYPPO reasonably believes a Customer has:
​

submitted false information;
-
submitted misleading information;
-
altered or fabricated evidence;
-
falsely claimed non-delivery;
-
falsely claimed missing products;
-
repeatedly submitted unsupported claims;
-
attempted to obtain duplicate compensation;
-
abused promotional programs;
-
improperly transferred credits;
-
created multiple accounts to obtain promotional benefits;
-
misused delivery codes;
-
engaged in improper chargeback activity; or
-
otherwise attempted to manipulate or defraud BYPPO, a Vendor, or delivery personnel.
BYPPO may consider account history, order history, claims history, payment history, delivery records, and other relevant information when reviewing suspected abuse.

29. FOOD, INGREDIENTS, ALLERGENS, AND PRODUCT INFORMATION
BYPPO relies upon Vendors for information concerning:
​
-
menu descriptions;
-
ingredients;
-
allergens;
-
nutritional information;
-
preparation methods;
-
dietary characteristics;
-
availability;
-
packaging;
-
portion sizes; and
-
product descriptions.
BYPPO does not independently verify all Vendor information.
If you have a food allergy, intolerance, medical dietary restriction, religious dietary restriction, ingredient concern, or other dietary requirement, you are responsible for determining whether a product is suitable for you.
You should contact the Vendor before ordering when ingredient or allergen information is important to your decision.
BYPPO does not guarantee that Vendor products are free from allergens or cross-contact.
To the fullest extent permitted by applicable law, BYPPO does not independently warrant or guarantee Vendor product ingredients, preparation, quality, temperature, freshness, portion size, packaging, labeling, safety, or compliance with special Customer instructions.
Nothing in this Section limits liability that applicable law does not permit BYPPO to disclaim.

30. PAYMENT METHODS
​
BYPPO may accept payment through:
​
-
credit cards;
-
debit cards;
-
digital wallets;
-
Campus Payment Methods;
-
eligible BYPPO credits; and
-
other payment methods made available through the Service.
You represent and warrant that you have the legal right and authorization to use every payment method submitted through your account.
By placing an order, you authorize BYPPO and its payment providers to process the applicable transaction.
BYPPO may use third-party payment processors and campus payment systems.
Those services may be subject to separate terms or requirements.
BYPPO may decline, hold, reject, cancel, or review a transaction where payment authorization fails, payment credentials appear invalid, suspected fraud exists, a security concern exists, or another legitimate payment issue occurs.

31. CARD BILLING DESCRIPTOR AND PAYMENT DISPUTES
​
Your credit or debit card statement may identify a transaction as:
BYPPOCAMPUS LLC
BYPPO
or another substantially similar BYPPO billing descriptor rather than the applicable Vendor.
Customers should review their BYPPO account and order history before disputing a transaction.
Nothing in these Terms prevents a Customer from exercising a payment-dispute or chargeback right that cannot legally be waived.
You agree not to knowingly submit or participate in a false, fraudulent, deceptive, duplicative, or improper payment dispute or chargeback concerning a legitimate BYPPO transaction.
If a payment dispute or chargeback is initiated, BYPPO may, where permitted by applicable law:
-
contest the dispute;
-
provide order records;
-
provide Vendor records;
-
provide delivery records;
-
provide delivery-code records;
-
provide timestamps;
-
provide Customer communications;
-
provide records showing Customer acceptance of these Terms;
-
provide records showing applicable support deadlines;
-
provide other relevant transaction evidence;
-
suspend or restrict the applicable account while the matter is reviewed; and
-
pursue lawful recovery of amounts finally determined to be owed.

32. TIPS
The Service may allow Customers to provide an optional tip.
The amount of any tip will be displayed before the order is placed.
TIPS ASSOCIATED WITH PLACED ORDERS ARE FINAL AND NON-REFUNDABLE, except where the underlying transaction does not proceed or applicable law requires otherwise.
An Order Issue Review does not automatically create a right to recover a tip.
33. ACCOUNT SECURITY AND RESPONSIBILITY
You are responsible for maintaining the security and confidentiality of your account, password, credentials, verification information, and device access.
You agree not to knowingly allow unauthorized individuals to use your account.
You must promptly notify BYPPO if you believe your password has been compromised, your account has been accessed without authorization, unauthorized activity has occurred, or payment information associated with your account has been compromised.
To the fullest extent permitted by applicable law, you are responsible for transactions authorized using your account or credentials.
BYPPO may require additional authentication or identity verification where reasonably necessary.

34. ALCOHOL AND PROHIBITED PRODUCTS
BYPPOCampus does not currently permit alcohol purchases unless BYPPO expressly introduces and authorizes such functionality in accordance with applicable law.
Customers may not use the Service to arrange unauthorized purchase, pick-up, or delivery of alcohol, tobacco, nicotine products, controlled substances, illegal drugs, weapons, illegal products, or other products prohibited by BYPPO or applicable law.
35. ACCEPTABLE USE AND PROHIBITED CONDUCT
You may not:
-
provide false account information;
-
impersonate another person;
-
use another person’s payment method without authorization;
-
submit fraudulent support claims;
-
manipulate promotions;
-
misuse referral programs;
-
harass, threaten, discriminate against, or abuse Vendors, delivery personnel, BYPPO personnel, or other Users;
-
interfere with Vendor or delivery operations;
-
gain unauthorized access to another account;
-
bypass Service security;
-
probe or test vulnerabilities without authorization;
-
transmit malicious software;
-
scrape or systematically extract data without authorization;
-
reverse engineer the App except where applicable law prohibits the restriction;
-
improperly use bots or automated systems;
-
misuse BYPPO intellectual property;
-
manipulate payment systems;
-
misuse delivery codes;
-
fabricate support documentation; or
-
otherwise interfere with the security or proper operation of the Service.
BYPPO may investigate suspected violations and take appropriate action.

36. COMMUNICATIONS
36.1 Operational Communications
By creating an account, providing contact information, and using the Service, you authorize BYPPO and service providers acting on BYPPO’s behalf to provide communications reasonably necessary to administer your account and provide the Service.
Operational communications may include account verification, security notices, order confirmations, Vendor-status updates, preparation updates, delivery updates, arrival notifications, payment notifications, customer-support communications, and other account-related notices.
Communications may be delivered through the App, push notification, email, telephone, or SMS/text messaging to the extent permitted by applicable law.
Message and data rates may apply.
BYPPO is not responsible for communications delayed or undelivered because of telecommunications-provider or network failures.
Customers remain responsible for monitoring their order status.
36.2 Marketing Communications
BYPPO may separately offer Customers the opportunity to consent to marketing communications.
Where required by law, consent to marketing communications is not a condition of purchasing products or using BYPPO’s basic ordering Service.
Customers may revoke marketing consent through legally sufficient opt-out methods.
Where applicable, BYPPO will recognize text-message opt-out requests such as STOP.

37. ELECTRONIC CONTRACTS, RECORDS, AND SIGNATURES
​
By checking the acceptance box when creating your BYPPO account, you consent to transact electronically with BYPPO.
You acknowledge and agree that:
​

checking the acceptance box constitutes electronic acceptance of these Terms;
-
electronic acceptance may have the same legal effect as a physical signature;
-
electronic records may document your acceptance and transactions;
-
BYPPO may provide notices and records electronically where permitted by law;
-
receipts and order confirmations may be electronic; and
-
BYPPO may retain the date, time, account information, Terms version, and other information reasonably used to document acceptance.

38. CHANGES TO THESE TERMS
​
BYPPO may update or modify these Terms from time to time. Any updated Terms will be posted or otherwise made available through the App or BYPPO website and will become effective on the date stated in the updated Terms.
YOUR CONTINUED ACCESS TO OR USE OF THE BYPPO APP OR SERVICES AFTER UPDATED TERMS BECOME EFFECTIVE CONSTITUTES YOUR ACCEPTANCE OF AND AGREEMENT TO THE UPDATED TERMS.
If you do not agree to the updated Terms, you must stop using the App and Services.
BYPPO may require you to affirmatively accept updated Terms where required by applicable law.

39. THIRD-PARTY SERVICES
The Service may depend upon or integrate with third-party applications, websites, payment providers, university systems, telecommunications providers, mapping services, networks, and other technologies.
BYPPO does not control all third-party services and does not guarantee their availability or performance.
Your use of third-party services may be subject to separate terms and policies.
40. CAMPUS AND UNIVERSITY REQUIREMENTS
You remain responsible for complying with applicable university policies, residence-hall rules, campus regulations, building-access requirements, identification requirements, event rules, security procedures, and other campus requirements.
Availability of BYPPOCampus at a university does not necessarily mean the university owns, operates, controls, sponsors, or endorses BYPPO.
Universities may require BYPPO to modify delivery territories, delivery locations, access procedures, operating hours, Vendor availability, or other aspects of the Service.
41. SERVICE AVAILABILITY, ERRORS, AND UPDATES
The Service may occasionally experience outages, maintenance, bugs, inaccurate information, delayed information, incorrect product availability, pricing errors, menu errors, communication failures, or third-party interruptions.
BYPPO may correct information, release updates, suspend features, or modify functionality.
Installation of an App update may be required to continue using the Service.
BYPPO may suspend, restrict, modify, or discontinue all or part of the Service where reasonably necessary.

42. FORCE MAJEURE
To the fullest extent permitted by applicable law, BYPPO shall not be liable for delay, interruption, or failure to perform caused by circumstances beyond BYPPO’s reasonable control, including severe weather, natural disasters, public-health emergencies, governmental action, university closures, campus emergencies, labor disputes, utility interruptions, internet outages, telecommunications failures, payment-network failures, third-party technology failures, supply shortages, war, terrorism, civil unrest, or similar events.
43. INTELLECTUAL PROPERTY
The Service and its software, interfaces, databases, designs, trademarks, logos, graphics, content, features, functionality, and other intellectual property owned by or licensed to BYPPO remain the property of BYPPOCAMPUS, LLC or its licensors.
BYPPO grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service solely for authorized personal use.
No ownership interest is transferred to you.
All rights not expressly granted are reserved.
44. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
BYPPO disclaims warranties that may legally be disclaimed, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
BYPPO does not warrant or guarantee that the Service will always be available, uninterrupted, or error-free; that every Vendor or product will be available; that every order will be fulfilled; that delivery personnel will always be available; that estimated times will be met; that communications will always be delivered; or that every error will be corrected.
Nothing in this Section eliminates any warranty or obligation that applicable law does not permit BYPPO to disclaim.

45. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BYPPO AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SERVICE, THESE TERMS, OR AN ORDER.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BYPPO’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE, THESE TERMS, OR ANY ORDER SHALL NOT EXCEED THE GREATER OF:
A. THE SERVICE, CONVENIENCE, PLATFORM, OR DELIVERY FEES ACTUALLY PAID TO BYPPO BY THE CUSTOMER DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, EXCLUDING VENDOR PRODUCT CHARGES AND TIPS; OR
B. ONE HUNDRED U.S. DOLLARS ($100).
These limitations apply regardless of whether a claim is based upon contract, tort, negligence, statute, strict liability, or another legal theory, to the fullest extent legally permitted.
Nothing in these Terms excludes or limits liability that applicable law does not permit BYPPO to exclude or limit.
46. THIRD-PARTY RISK ALLOCATION
You understand that use of BYPPO may involve interactions with independent Vendors and independent delivery personnel.
To the fullest extent permitted by applicable law, you assume ordinary risks arising from independent third-party conduct outside BYPPO’s reasonable control.
BYPPO’s provision of technology, platform standards, delivery standards, payment processing, customer support, order tracking, or coordination does not constitute a guarantee of every act or omission of an independent Vendor or delivery provider.
47. INDEMNIFICATION
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless BYPPO and its members, managers, officers, employees, contractors, agents, affiliates, licensors, and service providers from third-party claims, liabilities, damages, losses, and reasonable costs and attorneys’ fees arising from:

your unlawful use of the Service;
-
your fraudulent conduct;
-
your material violation of these Terms;
-
your infringement of another person’s legal rights; or
-
unlawful content or information submitted by you.
You are not required to indemnify BYPPO for liability that applicable law prohibits BYPPO from transferring to you.

48. SUSPENSION AND TERMINATION
BYPPO may suspend, restrict, or terminate an account because of violation of these Terms, fraud or suspected fraud, promotional abuse, repeated false claims, improper chargeback conduct, harassment, safety concerns, unlawful activity, security concerns, university requirements, or material misuse of the Service.
Termination does not eliminate obligations or liabilities arising before termination.
Provisions concerning payments, intellectual property, disclaimers, limitations of liability, indemnification, disputes, and arbitration shall survive termination where appropriate.
49. PRIVACY
BYPPO’s Privacy Policy governs BYPPO’s collection, use, storage, and disclosure of personal information and is incorporated into these Terms by reference.

50. DISPUTE RESOLUTION AND BINDING ARBITRATION
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY.
This Section affects your legal rights and generally requires disputes between you and BYPPO to be resolved through individual arbitration rather than through a jury trial or class action.
50.1 Informal Resolution
Before commencing arbitration against BYPPO, you agree to provide written notice containing:

your full name;

the email address associated with your BYPPO account;
-
the relevant transaction or order, if applicable;
-
a description of the dispute; and
-
the relief requested.
Notice may be sent to:
You and BYPPO agree to make reasonable good-faith efforts to resolve the dispute for at least thirty (30) days after receipt of notice before arbitration is commenced.
50.2 Binding Individual Arbitration
Except for claims expressly excluded below, any dispute, claim, or controversy arising out of or relating to these Terms, creation or use of a BYPPO account, use of the Service, an order, delivery, pick-up, payment
